WATERLOO, ON.—December 5, 2002—Global Beverage Group (GBG) announced today that they have completed an agreement with Semotus Solutions Inc. (SSI) for the purchase of 49% of Application Design Associates (ADA) a wholly owned subsidiary of SSI. Under this agreement, GBG has an option to purchase the remaining 51% interest in ADA fifteen months from initial investment. ADA will operate as a subsidiary of GBG and the management team of GBG will assume responsibility for the management of ADA.

This investment brings immediate impact to GBG’s customer base with an increase in the depth of products available through GBG - adding ADA’s Vending Maintenance Management System, Fleet Maintenance Management System and AutoTech Link. ADA brings 18 years of beverage software experience and vaults GBG’s customer base to over 150.

Ted Hastings, CEO of GBG stated, “We are very pleased to add ADA to our group. With our combined depth of products, it would be difficult to find a beverage distributor who would not benefit from a partnership with GBG – be it in route accounting, truck routing, truck loading, field service, equipment maintenance, vending or mobile solutions.”

Mr. Hibben will join GBG as a member of its executive team and will focus his efforts on new product development, sales, marketing and customer relations. John has been providing solutions to the beverage industry for eighteen years and will bring his passion for the beverage market to the management team of GBG.
